Legal & Commercial Contracts Executive

Accountabilities:: Draft, review, negotiate, and manage MSAs, SOWs, NDAs, service agreements, vendor agreements, amendments, and other commercial contracts. Review key commercial and legal provisions, including pricing, payment terms, liability, indemnity, warranties, termination, intellectual property, confidentiality, and data protection. Coordinate contract negotiations and approvals between Sales, Delivery, Finance, customers, vendors, and other stakeholders. Manage a centralized contract repository and track renewals, contractual obligations, notices, milestones, and key dates. Ensure appropriate internal approvals, documentation, and execution of contracts. Coordinate day-to-day legal matters across multiple entities and jurisdictions. Work with external legal counsel, law firms, company secretaries, PROs, and professional advisors as required. Prepare briefs, background materials, documentation, and instructions for external counsel. Track legal cases, notices, disputes, claims, and other ongoing legal matters through to resolution. Support corporate legal documentation, including KYC, licenses, registrations, powers of attorney, and board or shareholder documentation. Coordinate legal support for directors, founders, and management on personal or director-related matters when required, including engaging appropriate external counsel. Maintain secure and confidential records relating to sensitive corporate, director, and personal legal matters. Partner with Finance, Sales, Delivery, HR, and Operations to identify and manage contractual, commercial, and legal risks. Support customer and vendor onboarding, disputes, payment-related contractual matters, claims, and termination processes. Develop and maintain standard contract templates, approval workflows, legal trackers, SOPs, and other operational processes. Maintain a calendar of important legal, corporate, contractual, compliance, and renewal deadlines. Requirements: Bachelor's degree in Law, Business, Commerce, or a related discipline. 3–6 years of experience in commercial contracts, legal operations, contract management, corporate legal, or a related field. Strong practical understanding of commercial contracts and the full contract lifecycle. Demonstrated ability to review agreements, identify contractual risks, support negotiations, and coordinate approvals. Strong contract drafting, documentation, written communication, and stakeholder-management skills. Experience working with external lawyers, law firms, company secretaries, and other professional advisors. Good understanding of commercial practices across multiple geographies; international exposure is an advantage. Strong organizational skills with the ability to independently manage multiple contracts, legal matters, deadlines, and stakeholders. High level of discretion and professionalism when handling confidential corporate, director, and personal legal matters. An LLB, LLM, or equivalent legal qualification is preferred. Experience in technology, consulting, SaaS, professional services, or a similar environment is an advantage. Experience managing contracts across multiple jurisdictions is preferred. Familiarity with technology contracts, intellectual property, data protection, confidentiality, and professional services agreements is an advantage.
