Commercial Legal Apprentice

Accountabilities:: Support the drafting, review, updating, and management of commercial agreements, including affiliate, sponsorship, event, speaker, supplier, service, NDA, MSA, Order Form, SOW, and Amendment agreements. Review contracts against approved templates, playbooks, fallback positions, and business requirements, identifying key commercial and legal terms and escalating non-standard provisions when appropriate. Assist with reviewing counterparty redlines, preparing comparison summaries, and supporting internal briefing notes covering negotiation points, risks, and potential responses. Develop an understanding of how master agreements and related documents such as Order Forms, SOWs, and Amendments interact within a contracting framework. Coordinate with cross-functional stakeholders to gather information, clarify requirements, communicate contract status and timelines, and support alignment between legal and business objectives. Conduct legal research on relevant regulations, contract law, and industry standards under the guidance of the Legal team. Assist with compliance reviews of speaker presentations and promotional materials, including considerations relating to applicable endorsement and testimonial requirements. Maintain contract trackers, filing systems, logs, and contract lifecycle management platforms, including Ironclad, while monitoring deadlines, renewals, and key milestones. Support contract due diligence by reviewing agreements and supporting documentation against established checklists, verifying counterparty information, and escalating potential gaps or risks. Contribute to legal operations and process improvement projects, including the development of checklists, clause libraries, quick-reference guides, review playbooks, and other knowledge-management resources. Collaborate with the Legal team on ad hoc commercial, compliance, and operational projects as required. Requirements: Recent Bachelor’s degree in Law or currently pursuing a law degree from an accredited law school. Strong academic record and a genuine interest in corporate, contract, commercial, or technology law. Strong attention to detail, accuracy, and the ability to carefully review complex or lengthy documents. Excellent written and verbal communication skills, with the ability to explain legal concepts clearly and concisely. Strong analytical, organizational, time-management, and follow-up skills, with the ability to manage multiple contracts and priorities. Curiosity, eagerness to learn, and a proactive approach to developing practical legal skills. Ability to handle confidential and sensitive information with discretion. Collaborative approach and confidence communicating with stakeholders across different functions and levels. Ability to take ownership of assigned work while recognizing when to ask questions or seek guidance. Comfortable using Google Workspace, Slack, Microsoft Office, and AI-powered tools such as ChatGPT or Copilot for research, drafting, and summarization. Reliable computer equipment and a stable, high-speed internet connection suitable for remote work. Willingness to accommodate collaboration with stakeholders operating across IST, EST, PST, and CDT time zones. Benefits: Monthly stipend: INR 45,000. Duration: 6-month apprenticeship. Practical exposure to commercial and vendor contracting within a high-growth SaaS environment. Hands-on experience with contract lifecycle management tools, including Ironclad. Exposure to go-to-market agreements such as affiliate, sponsorship, event, and speaker contracts. Practical understanding of vendor contracting and the relationship between MSAs, Order Forms, SOWs, Amendments, and NDAs. Experience working with legal operations, contract tracking, compliance workflows, templates, and knowledge-management processes. Cross-functional collaboration with Procurement, Finance, IT, Security, Marketing, and Events teams. Exposure to risk identification, contract review, escalation, and commercial negotiation processes. Experience working in a global, remote-first environment with stakeholders across multiple time zones. A strong practical foundation for future opportunities in commercial law, legal operations, and technology transactions.
